Sponsor/Administrator: Best in Shelter 2020 (the “Competition”) is sponsored by Best In Shelter Inc., 6900 Wilson Lane, Bethesda, MD 20817 (“Sponsor”) and administered by Marko Vide Web Design and Development, Gotna vas 26, 8000 Novo mesto, Slovenia (“Administrator”).

Eligibility: This Competition is open to animal shelters in Huntington, Md, Arlington, Va, Ellicott City, Baltimore, md, Alexandria, Va, Waldorf, md, Severn, md. invited to participate by the Sponsor. Void in all other geographic locations. By entering the Competition, entrants: (a) agree to be bound by these Official Rules and by the interpretations of these Official Rules by Sponsor, and by the decisions of the Sponsor, which are final in all matters relating to the Competition; (b) release and hold harmless the Sponsor, Administrator, Facebook, Inc. and their respective parents, subsidiaries and affiliated entities, directors, officers, employees, attorneys, agents, and representatives (collectively, the “Released Parties”) against any and all claims, injury or damage arising out of or relating to participation in this Competition; (c) acknowledge compliance with these Official Rules; and (d) waive any right to claim ambiguity in these Official Rules.

How to Enter: To enter the Competition, each invited rescue must submit (1) rescue logo, a photo or a video (or both) and a description of their rescue and (2) a photo or a video (or both) and a description of one or two (a pair) of their sheltered animals and submit both to webmaster@bestinshelter.org. Videos should be submitted utilizing a file transfer service such as Dropbox or WeTransfer. Entrant Videos must be in a file format supported by YouTube. Entrant Videos must not be sent as email attachments. Entries must be received by Sponsor prior to October 2, 2020 at 12:00 PM EST. Proof of submission will not be deemed to constitute proof of receipt by Sponsor. Entries received after such time will be deemed void. By entering the Competition, you are confirming that you meet the eligibility requirements as detailed above. Eligible entrants may enter only one (1) time. All entries submitted in accordance with these Official Rules shall be hereinafter referred to as “Eligible Entries.” Each entrant represents and warrants (A) that their Entrant Video is either (1) original or (2) that such entrant has all necessary rights, licenses, permissions and releases necessary to include all non-original elements contained in its Entrant Video, (B) that their Entrant Video and Sponsor’s use of their Entrant Video will not infringe upon any copyright, trademark, trade secret, patent, right of publicity, right of privacy or any other proprietary right of any third party, and (C) that they have the rights necessary to grant Sponsor the rights licensed herein. By submitting Entrant Videos, each entrant grants to Sponsor a perpetual, irrevocable, nonexclusive, fully-paid, royalty-free license to use, reproduce, display, distribute, publish, modify and create derivative works from the Entrant Video in any media now known or hereafter developed. Sponsor reserves the right to remove any Entrant Videos that it believes, in its sole discretion, are offensive or harmful, violate any law, infringe, violate or misappropriate any intellectual property right or privacy or publicity right of a third party, or otherwise do not comply with these Official Rules. Any Entrant Video that, in Sponsor’s sole and absolute discretion, violates these Official Rules will be disqualified. The odds of winning depend on the number of Eligible Entries received.

Voting Process:

All visitors to the Sponsor’s website at https://www.bestinshelter.org (“Voters”) can vote on Shelters and Sheltered animals by clicking on the “Competition” tab and following the steps prompted by the Competition app. Voting Period will take place from 12:01 a.m. on Wednesday, October 7th to 12:59 p.m. on Wednesday, October 28th. Voting is limited to one (1) vote per Facebook account per rescue animal (or animals) per day. The rescue animal (or animals) that receives the greatest number of votes shall be deemed to have won. Sponsor reserves the right to reject any votes that it determines, in its sole discretion, to have been cast in violation of these Official Rules.

Winners:

Potential winners may be required to execute and deliver to Sponsor a signed affidavit of eligibility and acceptance of these Official Rules. Potential winners will be notified of winning within forty-eight (48) hours after the competition ends by email. Contact and tax identification information and any other information reasonably requested by Sponsor must be given to the Administrator within seventy-two (72) hours of notification. If a potential winner does not respond with all requested information within seventy-two (72) hours of notification, the potential winner may be disqualified.

Prize Money:

The first place winner will be awarded $35,000 while the second place winner gets $20,000. The third place winner gets $10,000. Each sanctuary is limited to one prize and those organizations not finishing with an award will be granted an honorable mention grant of $1,000.

Privacy Policy: All information collected pursuant to the Competition, including that related to Voters, is subject to the Sponsor’s privacy policy, available at https://www.bestinshelter.org/privacy-policy.

Limitations of Liability; Indemnification: By entering the Competition, all entrants agree to release, indemnify and hold harmless the Released Parties from and against any and all liability, claims or actions of any kind for any injuries, losses or damages of any kind arising in whole or in part, directly or indirectly, from participating in this Competition or in any Competition-related activity, whether sponsored, held by or paid for by a third party or by Sponsor. Additionally and without limiting the foregoing, the Released Parties are not responsible for late, lost, stolen, incomplete, misdirected, garbled, damaged, delayed or undelivered entries; or for any virus contracted by any entrant’s computer through participation in the Competition, for any incorrect or inaccurate information, whether caused by computer or Internet malfunction or interference, tampering, manipulation, weather or natural disaster, acts of war, or by any of the equipment or programming associated with or utilized in the Competition and assume no responsibility for any error, omission, interruption, deletion, defect or delay in operation; or for failed computer, satellite, telephone, wireless or cable transmissions, lines or technical failure or jumbled, scrambled, delayed or misdirected transmissions, technical error, theft or destruction or unauthorized access. Released Parties are not responsible for other errors or difficulties of any kind whether human, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Competition, including, without limitation, errors or difficulties which may occur in connection with the administration of the Competition, the processing of entries, the cancellation or postponement of any event, the announcement of the winners or in any Competition-related materials. Sponsor reserves the right, at its sole discretion, to disqualify any individual it suspects of tampering with the entry process or the operation of the Competition, to be acting in violation of the Official Rules, or to be acting in a unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE, FAIR OPERATION OF THE COMPETITION MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. If, for any reason, the Competition is not capable of running as planned for any reason, including without limitation, by reason of, but not limited to, tampering, unauthorized intervention, fraud, technical failures, a computer virus or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Competition, or in the event this Competition is challenged by any legal or regulatory authority, the Sponsor and Administrator reserve the right in their sole discretion to cancel, terminate, modify or suspend the Competition or to disqualify affected entrants without any liability to such entrants. If the Competition is terminated before the stated expiration date, notice will be posted on the Sponsor’s website and all sums to be awarded pursuant to the Competition may be awarded in a manner that is fair and equitable as determined by the Sponsor.

UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN AWARDS FOR, AND ENTRANTS HEREBY WAIVE ALL RIGHTS TO CLAIM, PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR ANY OTHER DAMAGES WHATSOEVER. IN NO EVENT SHALL SPONSOR BE LIABLE TO ANY ENTRANT OR WINNER FOR DAMAGES THAT EXCEED THE VALUE OF THE SUMS TO BE AWARDED TO THE INDIVIDUAL ENTRANT IN THIS COMPETITION. SPONSOR’S FAILURE TO ENFORCE ANY PROVISION IN THESE OFFICIAL RULES WILL NOT BE DEEMED A WAIVER OF SUCH.

Miscellaneous Terms: This Competition is operated strictly for charitable and entertainment purposes and may not be used in connection with any form of gambling. By entering this Competition, all entrants agree to comply with these Official Rules and release, indemnify and hold harmless the Released Parties from and against any and all claims, damages, liabilities and expenses (including legal fees) arising from breach of these Official Rules and any representations and warranties contained herein. All interpretations of these Official Rules and decisions by the Sponsor are final. No software-generated, robotic, programmed, script, macro, or automated entries or any other entries that interfere with the legitimate, fair operation of the Competition are permitted. All such entries are void and all entrants using such methods shall be disqualified. All applicable federal, state and local laws and regulations apply and the winners will be responsible for all federal, state, local and other applicable taxes, and any other payments required in connection with the receipt of any sums pursuant to this Competition. The failure to exercise or enforce any right or provision of these Official Rules shall not constitute a waiver of such right or provision. If any part of these Official Rules is held by a court of competent jurisdiction to be invalid or unenforceable, that part will be enforced to the maximum extent permitted by law, and the remainder of these Official Rules will remain fully in force. THE COMPETITION AND THESE OFFICIAL RULES SHALL BE INTERPRETTED UNDER THE LAWS OF THE STATE OF MARYLAND WITHOUT REGARD TO ITS CONFLICT OF LAW PRINCIPLES. THE MARYLAND COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE COMPETITION AND THE LAWS OF THE STATE OF MARYLAND SHALL GOVERN THE COMPETITION. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THESE COURTS AND HEREBY SUBMITS TO THE JURISDICTION OF THOSE COURTS. ENTRANTS IRREVOCABLY WAIVE THE RIGHT TO BRING OR JOIN IN ANY CLASS ACTION REGARDING THE COMPETITION.
